These Conditions of Sale ("Conditions") govern the sale of credits ("Credits") for the use of APIs ("APIs") provided by Quantraum ("we", "us", "our") through our website https://quantraum.com (the "Site"). By purchasing Credits or using our pay-as-you-go system, you agree to be bound by these Conditions. If you do not agree to these Conditions, please do not make a purchase.

1. Orders

All orders for Credits placed through the Site are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including but not limited to the unavailability of Credits or errors in the description or pricing of the Credits.

2. Pricing

All prices for Credits are listed on the Site in Euros (€) and are subject to change without notice. The total price of your order will be confirmed at the time of purchase. Any applicable taxes will be added to your order total.

3. Payment

Payment for Credits must be made at the time of purchase. We accept various payment methods, including credit cards, debit cards, and other payment options as indicated on the Site. By providing your payment information, you represent and warrant that you are authorized to use the payment method you provide.

4. Credits Usage

Credits are non-refundable and do not expire unless otherwise stated. Once purchased, Credits can be used to access our APIs according to the pricing structure outlined on the Site. You are responsible for managing your Credits and ensuring that you have sufficient Credits for your intended API usage.

5. Pay-As-You-Go System

For users opting for the pay-as-you-go system, you will be billed monthly based on your actual usage of the APIs. An invoice will be generated and sent to you at the end of each billing cycle. Payment is due upon receipt of the invoice. If payment is made late, invoices may be marked as "paid" within a couple of hours after the payment is processed.

6. Delivery of Credits

Upon successful payment, Credits will be credited to your account and made available for immediate use. You will receive a confirmation of your purchase via email.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Quantraum shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your purchase or use of Credits or APIs, even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless Quantraum, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your purchase or use of Credits or APIs.

9. Changes to Conditions

We reserve the right to modify these Conditions at any time. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site or purchase of Credits after any changes constitutes your acceptance of the new Conditions. A failure to accept the new specified terms implies a renunciation of the Credits acquired without the possibility of refund. We undertake to send you the new terms and conditions as soon as they are published by e-mail.

10. Right of Withdrawal and Refund

The credits purchased on our platform provide access to specific electronic services. Once the credits are purchased, they are considered digital goods.

In accordance with applicable legislation, you acknowledge that by purchasing credits, you waive your right of withdrawal, as the execution of the service begins immediately after the purchase and requires your prior consent.

Due to the nature of the credits and the services provided, we do not offer refunds for credits, even if they have not been used. Additionally, the "Pay-per-use" mode cannot be refunded either, due to its very nature. By making a purchase, you accept this no-refund policy.

By proceeding with the purchase of credits, you confirm that you have read and understood this clause and agree to waive your right of withdrawal.

11. Governing Law

These Conditions shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law principles. Any disputes arising out of or related to these Conditions shall be subject to the exclusive jurisdiction of the courts located in Liège, Belgium.
